FAQs

Are secretarial fees tax-deductible?

Where secretarial fees relate to the company’s statutory requirements such as filing their annual Confirmation Statement, ensuring director and Persons with Significant Control details are up to date, etc. the costs incurred are tax deductible. However, the costs of forming the company are considered a capital cost and so aren’t tax-deductible.

Where there are costs in relation to share restructuring then specific tax advice will need to be sought on a case-by-case basis.

What makes Lovewell Blakes company secretarial services stand out from other companies?

Rather than merely acting as a bureau or a registered office address, Lovewell Blake’s company secretarial services are ingrained within our accountancy and business advisory service. This means that the information needing to be reported to Companies House is not just considered as part of meetings or advice, but will form part of the work we undertake to ensure that all filings are accurate and made in a timely fashion.

What do secretarial services include?

Company Secretarial services include, but are not limited to, the below:-

  • Filing of the annual Confirmation Statement
  • Maintaining the company’s register of members and Persons with Significant Control registers
  • Appointment and resignations of directors and company secretaries
  • Change of registered office address
  • Updating details of directors, shareholders and Persons with Significant Control
  • Share transfers
  • Issue or restructure of share capital

Why should I outsource my company's secretarial work?

It is the responsibility of the company’s directors to ensure that company records and registers are correct and up to date. However, keeping on top of a company’s statutory requirements and ensuring all information held at Companies House (both that on public display and that held behind the scenes) is up-to-date, isn’t something which the directors of many companies would factor into their day-to-day duties. By outsourcing this, the company can ensure that deadlines for filings are met and that all information needing to be updated is done so. For example, if a director were to move house, although their service address on public record at Companies House might be the company’s registered office, a filing with new address still needs to be made to keep the company’s records up to date.

What are company secretarial duties?

Company secretarial duties are those which maintain the company’s records and registers to ensure that these are correct and up to date at any given time.
